# Contract Management: Rights and Obligations

Once a contract is final, we pull out each party's duties and rights with the clause they come from, have a person confirm them, and follow them with reminders.

## What it does

Most contract disputes don't come from what the contract says. They come from what nobody remembered it said: a notice period that lapsed, an option that was never exercised, a reporting duty that was missed, a quality standard nobody checked. After signature, a contract usually goes into a folder and the people who negotiated it move on.

The rights and obligations register turns a finished contract into a structured list of who must do what, and by when. It doesn't replace reading the contract. It makes sure the commitments in it are still visible when they matter.

## Functions

### Extraction of duties and rights

When a contract is final, the register pulls out the duties and rights of each party. Typical entries are payment and reporting duties, delivery or acceptance deadlines, exclusivity and territory restrictions, minimum purchase or royalty commitments, audit rights, confidentiality duties, termination rights and renewal terms. Each entry says which party it concerns, what has to happen and, where the contract allows, by when.

### Link to the source clause

Every entry carries the text of the clause it came from. Nobody has to trust a summary: you can see the wording behind it. That matters when an entry is questioned, and it makes the lawyer's check quick, because the entry sits right next to its clause.

### Confirmation by a person

Nothing is tracked until a person has confirmed it. A lawyer reads the proposed entries against the contract, corrects or removes what's wrong, and adds what was missed. Only confirmed entries become part of the register. Contracts are full of conditions and cross-references, and that human check is what makes the register reliable.

### Reminders for notice periods and option windows

For entries with a date, the register sets reminders. The most useful are the ones that are easy to miss: the date a non-renewal notice must be given, the window in which an option can be exercised, the day a reporting duty falls due, the end of a trial or ramp-up period. A missed notice date can mean an automatic renewal for another year, so we follow these dates explicitly. As with every computed date at the firm, a person confirms the date before a reminder is set.

### Overview per contract and per counterparty

You get one view of what a contract requires from each side, and a way to see all commitments towards one counterparty, for example a distributor with a licence, a supply agreement and a data-sharing agreement running at once. The same overview helps when a contract is amended, renewed or terminated, because the affected entries are easy to find.

The register is only as good as the confirmation step, so it records who confirmed each entry. If a contract is later amended, the affected entries are reopened and confirmed again, which keeps the register in line with the text in force.

## What you receive

- a confirmed list of the rights and obligations of each party, each with its source clause;
- reminders for notice periods, option windows and reporting dates;
- an overview you can use in contract management, renewal planning and when preparing for a dispute or a due diligence;
- a lawyer's confirmation on every entry before it is followed.

A walk-through: a three-year trademark licence is signed. The register proposes entries such as the quarterly royalty report, the audit right, the quality-approval duty and the date by which non-renewal must be notified. The attorney compares each entry with its source clause, corrects a reporting date that was cross-referenced to a definition, and confirms the list. From then on, reminders go out ahead of each date, and the entries are there when the contract is amended or renewed.

## Where it is used

We use the register after [commercial contracts and transactions](https://www.pitch.law/solutions/commercial-contracts-transactions) are signed, so supply, services and distribution commitments don't get forgotten. It's central to [trademark licensing](https://www.pitch.law/solutions/trademark-licensing), where quality control, reporting and renewal dates run for years, and to [data licensing and sharing](https://www.pitch.law/solutions/data-licensing-sharing). It also supports [brand policy compliance](https://www.pitch.law/solutions/online-brand-compliance), where the duties in distribution and reseller agreements are the basis for action against non-compliant sellers.

For the background, see [distribution and reseller agreements](https://www.pitch.law/academy/distribution-reseller-agreements), [licensing agreements](https://www.pitch.law/academy/licensing-agreements) and [transferring and licensing a trademark](https://www.pitch.law/academy/trademark-transfer-licensing-recordals). We prepare the contracts themselves on [our Document Studio](https://www.pitch.law/technologies/contract-studio).

## In short

- Rights and duties of each party extracted from the signed text
- Every entry linked to its source clause
- Confirmed by a person before it is tracked
- Reminders for notice periods and option windows
- A clear overview long after signature
