# Data Licensing and Data Sharing

Licence or share data with a clear scope, settled ownership of derived data, privacy safeguards and terms that protect its value.

- 360 stage:

  Commercialize

## The question

You want to put data to work outside your own walls. You may feed an analytics partner, supply a dataset as a product, pool data in a joint venture, or give a customer access to what its connected devices generate. Each can create value. Each can also give away rights you cannot get back, breach data protection law, or leave you liable for what a partner does with the data.

The question is how to share or licence data on terms that keep control where you need it. Under the [EU Data Act](https://www.pitch.law/academy/eu-data-act), in some situations you have no choice about sharing, only about the terms.

Typical starting points are a request from a customer or partner for access to your data, a plan to sell or license a dataset as a product, a joint project in which several parties contribute data, or a draft agreement from a counterparty that you are unsure how to read.

## Our approach

A data licence is not an ordinary supply agreement with the word data inserted. We begin with four questions: which data, for what purpose, for how long, and who owns what is created from it.

First, we establish what you can license. Whether you hold a [database right or trade secret](https://www.pitch.law/academy/database-rights-and-trade-secrets) decides what you can prohibit and what you must secure by contract. Where the Data Act applies, we identify which data you must make available to users and third parties, on FRAND terms and for reasonable compensation, and which contract terms the Act treats as unfair when imposed on another business.

Second, we check the personal data layer. If the dataset contains personal data, the agreement must state the roles of the parties, the lawful basis, the safeguards and any restrictions on [international transfers](https://www.pitch.law/academy/international-data-transfers-post-schrems-ii). We align the agreement with your records of processing in [our compliance registers](https://www.pitch.law/technologies/privacy-register), where the attorney or DPO reviews the entries.

Throughout, the attorney decides the legal positions: whether a clause is acceptable, what to concede and what to hold. Our technology prepares and tracks, but it does not decide.

Third, we draft. We use [our Document Studio](https://www.pitch.law/technologies/contract-studio) to prepare the agreement from our clause library in the firm's house style and export it as a Word document. Client and counterparty details come from profiles. An attorney finalises every draft.

Fourth, we make sure the contract is lived. Once signed, the duties and rights of each party, such as delivery windows, audit rights, notice periods and deletion on exit, are extracted into [our rights and obligations register](https://www.pitch.law/technologies/contract-obligations). A person confirms each entry against the clause it came from, and reminders follow for the dates that matter.

## What you get

- A data licence or data sharing agreement that defines scope, permitted use, duration, and the exclusion of onward use you have not agreed.
- Clear terms on ownership of derived data, outputs and models built on the licensed data.
- Commercial terms: fees or royalties, audit rights, warranties on quality and provenance, liability and the consequences of misuse, so that value is protected if the relationship ends badly.
- The data protection layer: roles, safeguards, transfer restrictions and a link to your processing records.
- Data Act alignment where it applies: access requests, trade secret safeguards, protection against unfair terms, and exit.
- A register of obligations with reminders, so that the contract is followed after signature.

A short scenario: an Antwerp logistics software company wants to license anonymised route data to a research partner. We check that the data are truly anonymous or, if not, add the GDPR layer. We define the research purpose, ban re-identification and onward sale, settle that the partner owns its findings while the company keeps the source data, and set an audit right and deletion on exit. After signature, the delivery and deletion dates go into the obligations register.

Data sharing is not always a sale. Pooling, exchange between partners and contribution to a joint venture each need their own structure for contribution, combined ownership and exit. We fit the agreement to the actual relationship.

## Next step

Send us a short description of the data, the intended use and the parties involved, or the draft you have received. We will tell you what must be settled before you sign and which points we would negotiate first.

## In short

- Scope, purpose and duration defined precisely
- Ownership of derived data and outputs settled up front
- GDPR safeguards built into the commercial terms
- Fees, audit and warranty terms that protect value
- Return or deletion of data on termination
