# How to Value an IP Portfolio

Why and when an IP portfolio is valued, the three standard valuation approaches, and the legal facts that decide whether a right is worth what its owner thinks.

## The legal framework

There is no legal rule that fixes the value of intellectual property. Value is an economic estimate, made for a purpose, by a method suited to that purpose. The law matters because it determines what the owner actually holds: how strong a right is, in which territories, for how long and subject to whose claims.

### Why valuations are made

Common reasons are a sale or acquisition of a company or of rights, a financing round or loan in which IP forms part of the security, a licence in which royalties have to be priced, a transfer between group companies, which requires an arm's length price, accounting for acquired intangible assets (IFRS 3 and IAS 38), a dispute in which damages are calculated, and internal decisions on what to keep. The purpose affects the answer. A value for a pledge is conservative, a value for a negotiation is a range, and a value for a transfer price must be defensible to a tax authority.

### The three approaches

**Cost approach.** The value is the cost of recreating the asset: development spend, filing fees, time. It is simple but says nothing about the earning power of the asset. It is common for early-stage assets with no revenue.

**Market approach.** The value is derived from comparable transactions or licences, for instance royalty rates agreed for similar rights in the same sector. It is persuasive when reliable comparables exist, which is often not the case for IP, since deals are confidential and assets are unique.

**Income approach.** The value is the present value of the future income attributable to the asset. Common techniques are the relief-from-royalty method, which values the asset by the royalties the owner is spared by owning it, and discounted cash flow on the earnings that the asset generates. For brands, ISO 10668 sets requirements for monetary brand valuation.

Financial valuers do these calculations. The lawyer's role is to establish the legal inputs.

### Legal inputs

- **Ownership and chain of title**: does the company own the right, and is that recorded? Assignments from founders, employees and contractors must be in order.
- **Validity and scope**: how strong are the claims of a patent, how distinctive and how exposed to challenge is a trademark?
- **Territory and remaining term**: where and for how long does the right apply?
- **Encumbrances**: licences, pledges, co-ownership, options and restrictions on use.
- **Use and enforceability**: is a trademark in use, so that it can be maintained, and does the owner have a record of enforcement?
- **Freedom to operate**: can the owner itself use the right without infringing others? See [freedom-to-operate analysis](https://www.pitch.law/academy/freedom-to-operate-analysis).
- **Cost to maintain**: renewal fees over the remaining life, which reduce net value.

## In practice

A Ghent biotech company is raising a funding round, and the lead investor asks for a valuation of its IP. The company holds three European patent families, 12 trademark registrations and the software behind its platform. The first step is to complete the register: [the portfolio system](https://www.pitch.law/technologies/portfolio-renewals) lists each right with its status, jurisdictions, remaining term and next fees. The second step is a legal review, which finds that one patent family has an inventor who left the company without a recorded assignment. That defect is cured by an assignment before the investor's due diligence begins. The third step is to make the documents available in [a data room](https://www.pitch.law/technologies/data-room), with the register, the key contracts and the opinions on validity.

The valuer then applies the income approach to the two families that protect the lead product, using royalty rates from comparable licences, and the cost approach to the early-stage family. The legal review adds a discount for the family that is only validated in three states and a note that the main patent expires in 11 years, which limits the income period.

A second example is a trademark portfolio for sale in a company transfer. The buyer's lawyers find that four registrations cover goods the company no longer sells and have not been used for six years. They are vulnerable to revocation and are excluded from the value. Unused rights cost fees and add no value.

Agreements that transfer or license IP are drafted with the valuation in mind. [Our Document Studio](https://www.pitch.law/technologies/contract-studio) provides the assignment and licence terms that fix title and income streams.

## Frequently asked questions

### Does a registered right have a value on its own?

Not automatically. Registration creates a legal right, but value comes from what the right allows the owner to do or to prevent in a market.

### Who should carry out the valuation?

A financial valuer with experience in intangible assets, working with the lawyers who provide the legal assessment. For tax or accounting purposes, additional standards apply.

### Are unregistered rights part of a valuation?

Yes, if they can be proven and owned: copyright in software, trade secrets, database rights and know-how. Their valuation depends on documentation, which is why an audit helps.

### How often should I update the valuation?

When the purpose requires it, for example before a financing round, a sale, or an accounting date, and after any significant change in the portfolio.

## How this connects

A maintained register and a clear picture of legal quality are the foundation of [IP portfolio management](https://www.pitch.law/solutions/ip-portfolio-intelligence). When the purpose is raising capital, the same material feeds [funding](https://www.pitch.law/solutions/funding).

## In short

- Valuation serves a purpose, and the purpose sets the method
- Three approaches: cost, market and income
- Legal quality drives the inputs to any valuation
- A clean register shortens due diligence
